Dividendi e Riserve: Le novità della Legge 199/2025. Come cambia la tassazione per i soci?

Il 2026 si apre con una riforma strutturale della tassazione sulle rendite finanziarie e sulle partecipazioni societarie. La Legge 199/2025 ha introdotto nuove regole sulla distribuzione dei dividendi e sull’utilizzo delle riserve, con l’obiettivo di semplificare il sistema ma, al contempo, di incentivare il reinvestimento degli utili in azienda.

Per gli imprenditori del Nord, abituati a considerare l’azienda come il proprio “salvadanaio” di famiglia, queste novità richiedono un’attenta analisi per evitare prelievi fiscali inefficienti.

 

 

1. Addio alla distinzione tra Partecipazioni Qualificate e Non Qualificate?

La grande novità della Legge 199/2025 è la tendenza verso un’aliquota unica di tassazione.

  • Il sistema precedente: Prevedeva una ritenuta a titolo d’imposta del 26% sulla maggior parte delle distribuzioni.

  • La novità 2026: Per le distribuzioni deliberate a partire dal 1° gennaio 2026, viene introdotta una rimodulazione che tiene conto del periodo di formazione dell’utile. Gli utili prodotti prima del 2024 beneficiano di un regime transitorio, mentre i nuovi utili subiscono un prelievo armonizzato che mira a equiparare la tassazione dei dividendi a quella dei redditi da capitale più comuni.

 

 

2. La stretta sulle “Riserve di Capitale”

Un punto critico della nuova normativa riguarda la riclassificazione delle riserve. Spesso le aziende distribuiscono riserve di capitale (non tassate) invece di riserve di utili.

  • La presunzione di distribuzione: La Legge 199/2025 rafforza il principio secondo cui si considerano distribuiti prioritariamente gli utili d’esercizio e le riserve di utili, indipendentemente dalla delibera soci. Solo una volta esaurite queste, si può attingere alle riserve di capitale senza impatti fiscali immediati per il socio.

  • Perché è importante: Questo meccanismo “obbliga” di fatto i soci a pagare le tasse non appena decidono di prelevare liquidità dall’azienda, limitando le manovre di ottimizzazione basate sui sovrapprezzi azioni o altri versamenti soci.

 

 

3. Incentivi al Reinvestimento: La “Riserva Resilience”

Per bilanciare la tassazione sui dividendi, la norma introduce un’agevolazione per chi decide di non distribuire.

  • Credito d’Imposta per l’Accantonamento: Le imprese che accantonano almeno il 70% degli utili a riserva indivisibile per un triennio possono beneficiare di una riduzione dell’aliquota IRES (o un credito d’imposta equivalente per le società di persone).

  • Focus Nord Italia: Questa misura è pensata per rafforzare la capitalizzazione delle PMI, rendendole più solide agli occhi delle banche (migliorando il rating di cui parlavamo nei post precedenti).

 

4. Pianificazione Finanziaria: Cosa deve fare il socio oggi?

In Refinanx, consigliamo di non agire d’impulso ma di mappare le riserve presenti in bilancio. Ecco i passi suggeriti:

  1. Analisi della “Stratificazione” delle Riserve: Verificare l’anno di formazione degli utili accantonati. Gli utili più “vecchi” potrebbero avere regimi di tassazione più favorevoli se distribuiti entro una certa data.

  2. Valutazione del Cash Flow: Prima di deliberare un dividendo, analizzare l’impatto della ritenuta fiscale sulla liquidità del socio e della società.

  3. Alternative al Dividendo: Valutare se l’eccedenza di liquidità possa essere utilizzata per piani di Welfare Aziendale o rimborsi spese chilometrici (ottimizzati con le nuove norme 2026), che presentano un carico fiscale nullo o ridotto rispetto al dividendo.

Conclusione

La Legge 199/2025 trasforma la distribuzione degli utili da una scelta contabile a una vera e propria scelta strategica di tesoreria. Prelevare senza pianificare significa oggi regalare allo Stato una fetta importante della ricchezza prodotta dall’azienda.
